Winshear Metals (WINS)  has received final approval from the TSX Venture Exchange (TSX-V) for the acquisition of an exploration assessment credit worth C$608,083 relating to its Thunder Bay Gold Project in north-western Ontario.

The transaction, first announced in June, will see Winshear issue 1 million shares and 500,000 warrants to the vendors. The warrants are exercisable at C$0.20 per share for three years, expiring on 20 August 2029, while the shares will be subject to a hold period ending on 21 December 2026.

The assessment credit relates to mineral claim 908950 and provides Winshear with additional exploration value as it advances work across the Thunder Bay project.

The company’s 2026 field programme, undertaken with Thunder Bay-based geological services firm Fladgate Exploration, has included soil sampling at the Inflection, MacGregor, El Dorado and Kingfisher targets, alongside till sampling over newly staked claims north-east of Kingfisher. Airborne magnetic surveys have also been conducted at the Inflection and El Dorado targets.

Winshear previously expanded its land position around the Kingfisher target by staking claims covering a 14-kilometre north-east extension, following gold-in-till anomalies identified during the 2025 field programme.

The TSX-V approval completes the assessment credit acquisition and adds further exploration value to Winshear’s Thunder Bay project. With the 2026 field programme targeting several priority areas, the company is building a broader exploration base ahead of the next phase of work.
